We hereby notify mmd-exchange Users that there is a risk of losing personal funds when owning digital assets and when making transactions with digital assets. The value of digital assets may increase or decrease, and there may be a risk that you will lose money when buying, selling, storing or investing in cryptocurrencies.

Trading digital assets also comes with unique risks that are not typically associated with official currencies. Unlike most currencies, which are backed by governments or other legal entities, or by commodities such as gold or silver, digital assets are a unique type of “fiat” currency, backed by technology and trust. There is currently no government agency that can issue more virtual currency or take corrective measures to protect the value of digital assets in a crisis.

When working with digital assets, there may be other risks that are not provided for in this User Agreement and the Administration of the mmd-exchange website.

General Provisions

This user agreement (hereinafter referred to as the Agreement, User Agreement) governs the relationship between mmd-exchange represented by

Softme Development Limited (Suite 102, Ground Floor, Blake Building, Corner Eyre & Hutsons Streets, Belize City, Belize) and mmd-exchange service users.

The User Agreement includes the text of this Agreement and other documents specified on the mmd-exchange website in the “Legal Documentation” section.

References in this agreement to mmd-exchange, as well as mentions of the words “Mine”, “we”, “our”, “Contractor” refer to “Softme Development Limited”, and the words “You”, “Your”, “User”, “Customer” refer to the person with whom the mmd-exchange service enters into this Agreement.

The User may only have one registered account. You acknowledge that you may not use the Services or create an account on behalf of any third party.

You are responsible for maintaining the security and control of your personal data that you use to access the Services.

When creating an account on the Site, you must not provide false information about yourself. Providing false information when registering an account, forged identity documents is not allowed and may lead to restricted access to the account or its blocking.

By using the mmd-exchange website, registering an account to use the mmd-exchange service, and creating an Application, you agree that you have read, understood and accepted all the terms and conditions contained in this Agreement and other legal documents posted on the website at:

The parties agree that this electronic Agreement has the force of a contract executed in writing.

This User Agreement is an agreement in the form of a public offer, the acceptance of which is carried out by the User by submitting an exchange Application on the website https://mmd-exchange.vip/.

If you do not agree with the terms of the User Agreement, you are not allowed to use the mmd-exchange website.

0. If necessary, you may need to undergo an AML check. These actions must be performed to confirm the safety of the movement of your funds and as provided for by the rules of the service.

1. Compliance with the criteria

1.1 The User hereby confirms that: (1) he/she has reached the age established by law (at least 18 years) required to accept these Terms in the country of which he/she is a resident; (2) he/she has not been previously suspended or prohibited from using the Service.

2. Terms and definitions

2.1. mmd-exchange is a trademark of a service that provides Users with the opportunity to exchange digital assets.

2.2. Service — a system for providing Internet services for the exchange, sale and purchase of digital assets.

2.3. User is any individual using the services of the mmd-exchange service.

2.4. Client No. 1 is the User who has completed the Application procedure on the mmd-exchange website and accepted the terms of the User Agreement.

2.5. Trusted User (Partner). The Service Administration carries out a careful selection of candidates with the status of “Trusted User”, assigned by the Service Administration on an individual basis, based on the length of the Partner’s cooperation with the Service, his/her good faith demonstrated during the period of cooperation, and also (as far as this may be/becomes known to the Service) the fact of the absence of any illegal transactions involving the Partner during the entire period.

2.6. Customer – the User who has submitted the Application and accepted the terms of the exchange transaction specified in it.

2.7. Digital currency - Bitcoin, Litecoin, Ethereum and any other currencies based on the blockchain.

2.8. Electronic currency – funds located in the accounts of users of electronic payment systems.

2.9. Payment system — a software and hardware product developed by a third party and representing a mechanism for implementing the accounting of monetary obligations, as well as organizing mutual settlements between its users.

2.10. Service services — assistance in conducting p2p transactions between individuals for the purchase, sale and exchange of digital currencies, as well as other services, information about which is posted on the Service showcase.

2.11. Payment — transfer of digital currency or fiat funds from User to User or Service, as well as in the opposite direction.

2.12. Application – an expression of the User’s intention to use one of the services offered by the Service by filling out an electronic form via the Service’s website, under the conditions described in the Agreement and specified in the parameters of this Application.

2.13. Card verification is the verification of the card (or account) belonging to its owner.

2.14. Rate is the value ratio of two digital currencies, fixed for a certain period of time during their exchange.

3. Subject of the agreement

3.1. Under this Agreement, the Customer grants the Contractor (1) the right, during the period of execution of the exchange transaction, to act on behalf of the Customer and in its interests and (2) instructs the Contractor to provide services for the automatic search and selection of a Trusted User interested in performing an exchange transaction under the conditions specified in the Application.

3.2. The Contractor undertakes to provide services to support the exchange transaction after the Application has been submitted and does so by means of an automated search and selection of a trusted User who wishes to purchase convertible currency under the conditions specified in the Application.

3.3. The resulting currency is subject to transfer to the details specified by the Customer, after which a confirmation letter of completion of the operation will be sent to the Customer's e-mail. From this moment on, the services provided by the Contractor are considered to be rendered in full and accepted by the Customer.

3.4. If profit arises during the support of the exchange transaction, it remains with the Contractor as compensation for the services rendered.

4. Rules for using an account on the mmd-exchange website

4.1. The mmd-exchange website is intended for personal use only. By registering on the website, you agree to provide mmd-exchange with reliable information about yourself in accordance with the registration procedure on the Website. You also agree that you will not use any other account except your own, and will not attempt to gain unauthorized access to the accounts of other users. In addition, the User agrees that he/she may have only one account on the mmd-exchange website.

4.2. We may also conduct additional checks of your information and request from you any necessary documentation and data related to the exchange (passport, photo of the card, video verification of the card, receipt of sending funds and other necessary data) for any reason related to your use of the Services and/or as supporting evidence for any information you provide. If the conditions for providing documents are not met, the service has the right to refuse to provide services and initiate a refund to the sender's details within 5 banking days.

4.3. The mmd-exchange website administration may at any time and at its sole discretion deny you the opportunity to register an Account, limit the Account or suspend any transaction until any information provided by you has been reviewed.

4.4 Confidentiality of your Account. You acknowledge that you are responsible for maintaining the strict confidentiality of your Account information, including your password, the protection of your own Digital Assets, and for all activities and transactions posted on your Account. You understand that any compromise of your login information may expose your Account to unauthorized access by third parties, which may result in the loss or theft of Digital Currency or funds in your Account, including associated accounts such as linked bank accounts and credit cards.

4.5. Security Alerts. In order to receive security alerts from the Company, you must notify the Company of changes to your email address and phone number. Under no circumstances will the Company be liable for any loss or damage that you may suffer as a result of a compromise of your account login credentials due to no fault of the Company and/or failure to follow or act on any notices or warnings that we may send you. Notwithstanding the foregoing, the Company does not guarantee to provide you with such warnings or take any other action in this regard, and will not be liable for the same.

4.6 You must immediately notify us of any unauthorized use of your Account or password, suspected hacking of your registration information or any other breach of security by email at [email protected] .

4.7. Responsibility for actions of third parties. Your account is for your personal use only and not for use or access by any third party. In any event, you are fully responsible for all acts or omissions of any third party accessing and/or using your account.

4.8. You agree that you will not use the Services to engage in any criminal activity, including but not limited to money laundering, illegal gambling, terrorist financing. You further warrant that you will not use methods to conceal the location from which you access the Site and that you will disclose your exact and true location to the Company upon request. If the Company, in its sole discretion, determines that activity on your Account is suspicious or related to any prohibited activity or illegal transaction, the Company may suspend your Account, block any outstanding transactions, and reject any subsequent transactions.

5. Services provided on the mmd-exchange website

5.1. The Service provides the User with the opportunity to register an account free of charge. However, the Service charges a commission for the services provided. The User can see the specific amount of the commission when creating an Application. The amount of the commission is determined by the Site Administration unilaterally and may change. The order of the mmd-exchange Service is carried out by the User by sending the relevant Application through the site on the Internet with the domain name mmd-exchange.vip.

5.2. By using the services of the Service, the User confirms that he/she legally owns and disposes of the fiat money and electronic and/or digital currency involved in the relevant Payment.

5.3. The mmd-exchange service provides the following types of services:

A service that provides the User with the opportunity to sell digital assets in real time;

A service that provides the User with the opportunity to purchase digital assets in real time.

A service that provides the User with the opportunity to exchange one type of digital asset for another type of digital asset supported by the Service in real time.

A service for searching and selecting a Trusted User to execute an Application created by the User.

5.4. By submitting an Application, the User instructs, and the Service, on its behalf and at the expense of the User, performs actions to sell and transfer digital and/or electronic or fiat currency to another User.

5.5. The amount of the Service's remuneration for the specified actions is reflected in the Application and confirmed by the User on one of the pages of the user interface.

5.6. Within the time allotted by the regulations (depending on the direction of exchange) from the moment of receiving funds from the User, in the amount specified in the relevant Application, the Service is obliged to transfer (transfer) the Received virtual or fiat currency to the details and in the amount specified by the User in the Application, unless force majeure circumstances prevent this.

5.7. The Service has the right to cancel an application created by the User for the purchase of digital and/or electronic or fiat currency if payment for such application has not been received on the service’s bank account within 30 (thirty) minutes from the moment such application was created.

5.8. The Service’s obligation to transfer (transfer) the Received digital and/or electronic or fiat currency to the User is considered fulfilled at the moment the digital and/or electronic or fiat currency is debited from the Service’s account in the relevant Payment System, which is recorded in the transaction history of the relevant Payment System.

A service that provides the User with the opportunity to purchase electronic and/or digital or fiat currency from another User in real time.

5.9. By submitting an Application, the User instructs, and the Service, on its behalf and at the User’s expense, to purchase electronic and/or digital or fiat currency from another User, and also performs actions to transfer the monetary equivalent to the User in the amount specified in the Application.

5.10. Within the time allotted by the regulations (depending on the direction of exchange) from the moment of receipt of electronic and/or digital or fiat currency from the User, in the amount specified in the relevant Application, the Service is obliged to transfer to the User the monetary equivalent of the transferred digital and/or electronic or fiat currency, in the manner selected by the User when creating the Application.

5.11. The amount of the Service's remuneration for the specified actions is reflected in the Application and confirmed by the User on one of the pages of the user interface.

5.12. The Service’s obligation to transfer the monetary equivalent of the transferred digital and/or electronic or fiat currency is considered fulfilled at the moment the corresponding amount is debited from the Service’s account.

5.13. All services of the mmd-exchange service are provided without any express or implied warranties, in particular, without implied warranties of merchantability and fitness for a particular purpose. The Company does not guarantee that the mmd-exchange services, as well as the mmd-exchange website, will be available in 100% of cases to meet your needs. The Company will strive to provide you with its services as soon as possible, but there is no guarantee that access will not be interrupted or that there will be no delays, failures, errors, omissions or loss of transmitted information.

5.14. mmd-exchange will use reasonable efforts to ensure that the mmd-exchange services and website are available in accordance with this Agreement. However, mmd-exchange may suspend use of the website for maintenance and will use reasonable efforts to notify you in advance. You therefore agree that you accept the risks associated with the fact that you may not always be able to use the mmd-exchange services and website or perform urgent transactions using your account.

Supplement to the procedure for the provision of services:

5.15. The rate is fixed when the application is created, if the User has paid for it within 1/5/30 minutes (depending on the exchange direction, more details) after creation. If the payment is not received within 30 minutes, the application is deleted automatically and to restore the application, the User must contact the technical support of the site. In this case, the payment amount for the application will be recalculated at the rate at the time of receipt of payment.

5.16. If the User has paid for the application, but due to circumstances wishes to refuse the exchange, then the refund is made minus 3% of the payment amount, a commission within the payment system network and the exchange rate difference (if the exchange rate has changed by more than 3%)

5.17. Payment details are valid for 30 minutes after the application is created. If the User has paid after this time, we reserve the right not to execute and not to return the funds paid to the User.

5.18. The application must be paid exclusively through the payment form on our website, which is available after clicking the "proceed to payment" button. Unauthorized payment by details is not allowed. Otherwise, the application may be cancelled.

5.19. The regulations for crediting funds to Visa, MasterCard, HUMO, UZCARD cards range from a few seconds to 5 business days. In practice, 99% of transfers are credited instantly. If necessary, the exchange operation can be performed in several transactions and within the timeframes specifically agreed upon by the Service and the Customer.

6. Taxation

6.1. The Service is not a tax agent for the User and will not notify the User of their tax expenses. The User undertakes to independently pay all taxes required in accordance with the tax legislation of the country of which they are a resident.

6.2. In the event that the Service is required by the authorities to pay the User's taxes or to cover a debt that arose as a result of the User's refusal to pay taxes, the User agrees to reimburse the Service for all such payments.

7. Guarantees and responsibilities of the parties

7.1. The mmd-exchange Service bears financial responsibility to the User in the amount of the electronic asset or electronic money that was transferred to the mmd-exchange Service for the execution of the Application.

7.2. The mmd-exchange service provides services for the exchange, purchase and sale of electronic assets or electronic money. The mmd-exchange service does not provide fundraising services, does not provide payment for goods or services of other suppliers.

7.3. The mmd-exchange service shall not be liable to the User for financial losses caused by illegal actions of third parties that cannot be predicted or prevented.

7.4. The mmd-exchange service shall not be held liable for any pending or unrealized Applications caused by an error of another Payment System or bank specified by the user in the completed Application. The user agrees that in such a case all claims will be sent to the payment system or bank. The mmd-exchange service will provide the necessary assistance to file a complaint or claim with another partner or bank.

7.5. In the event of detection of falsification of communication flows or any negative impact on the normal operation of the Service's program code, which is directly or indirectly related to the User's Application, the execution of the Application by the Service is suspended, and the parameters of the Application are recalculated for the funds already received in accordance with the current conditions or, if the User disagrees with the recalculation, the electronic asset or funds are returned to the payer's details.

7.6. The mmd-exchange service shall not be liable for any partial or complete failure to comply with these Terms of Use if such failure was caused by force majeure circumstances that could not be prevented by reasonable measures.

7.7. In other cases, failure to fulfill obligations arising from these Terms or violation of individual terms will be considered in accordance with the laws of Belize.

8. User's Responsibility:

8.1. The User is responsible for the accuracy and completeness of the information and data provided during registration. If the User has entered incorrect personal data or provided incorrect data for the execution of the Application, the mmd-exchange Service is not responsible for any losses of the User arising as a result of such an error.

8.2. In case of agreement with these Terms, the User declares and confirms that:

8.3 He has provided true and accurate information about himself, as well as genuine identification data;

8.4 He is not a participant in transactions or deals involving laundering of proceeds of crime;

8.5. Use of the Service is not related to the implementation of criminal and/or terrorist activities;

8.6. He undertakes to comply with the tax legislation of the country of which he is a resident. In the event that as a result of the User's use of the Service, the latter receives any kind of requests, inquiries, summonses, claims, lawsuits from government authorities and third parties, the User undertakes to independently take measures to regulate legal relations with such persons, while releasing the Service from financial liability, except for cases where the guilty actions on the part of the Service have been proven in court.

8.7. The User undertakes not to disrupt the operation of the mmd-exchange Service by interfering with its software or hardware, or by distorting the parameters transmitted to the Service.

8.8. In the event that the client notices a discrepancy with the broadcast of rates on monitoring. The client is obliged to notify the technical support of the service about this.

Examples of malfunction:

— the rate is 1.5% higher than the market rate on the bestchange.com platform

— the exchange rate does not change for a long time

For which, you can be rewarded with an increase in the loyalty program level.

8.9. The Client undertakes not to take advantage of a technical failure on the part of the exchange office or incorrect broadcasting of rates on monitoring sites for the purpose of enrichment.

In the event that the client took advantage of a technical failure on the side of the mmd-exchange exchange office and the exchange office suffers financial or reputational losses. These actions will be regarded as fraud. The client is subject to blocking, and all unfinished applications may be retained to compensate for service losses.

8.10. The User acknowledges and agrees that the mmd-exchange Service does not act as a financial advisor, does not provide investment advisory services, and any communication between the User and the mmd-exchange Service cannot be considered as advice.

8.11. The User shall not be liable for partial or complete non-compliance with these Terms and Conditions if it is caused by the occurrence of force majeure circumstances, unforeseen events or is prevented by appropriate measures.

8.12. In other cases, failure to fulfill obligations arising from these Terms and Conditions or violation of individual Terms and Conditions will be considered in accordance with the laws of Belize.

9. Applicable law and jurisdiction

9.1 This agreement and all disputes related to it shall be subject to the laws of Belize.

9.2. All disputes, disagreements and claims arising out of or in connection with this agreement shall be subject to consideration and resolution in the London Court of International Arbitration.

10. Other conditions

10.1. Use of the mmd-exchange Service for the purpose of carrying out fraudulent and illegal transactions is prohibited.

10.2. Operators of the mmd-exchange service are legally obliged to provide information about payments, Users and Transactions to the Belize authorities, supervisors and financial services and payment services providers in Belize.

10.3. The method of processing and protecting personal information is described in detail in the Privacy Policy published on the mmd-exchange website, required for the conclusion of contractual relations between the User and the mmd-exchange Service.

10.4. In case of suspicious actions during the User's application process, the mmd-exchange service has the right to suspend the execution of such operations until the reasons for these actions are clarified in order to avoid damage from hacker attacks.

10.5. The mmd-exchange Service has the right to refuse to perform an exchange, purchase or sale of electronic currencies if the transfer of the electronic asset to the Service account was made without completing an Application using the user interfaces on the Service Website. Electronic currency transferred to the relevant Service accounts by the User without completing an Application using the user interfaces on the Service Website may be returned to the User upon request, taking into account the deduction of the payment system commission.

10.6. The Service Administration has the right to refuse to provide services to any User without explanation.

10.7. The mmd-exchange Service response period to User requests may be up to fifteen working days from the moment of receipt of the corresponding User request.

11. Force majeure

11.1 If, due to force majeure, you or mmd-exchange delay or fail to perform any of these Terms, such delay or failure will not be considered a breach of these Terms and neither you nor mmd-exchange will have any claim for any loss or damage arising from such force majeure.

12. Final Provisions

12.1. The terms and conditions are agreed upon with the User in electronic form upon registration. Agreement with the Terms and Conditions published in electronic form,

is valid and identical to the written consent.

12.2. The mmd-exchange Service has the right to unilaterally amend the Agreements by publishing the amendments on the Service Website. The amendments shall come into force from the moment of publication, unless another period for the amendments to come into force is additionally determined upon their publication. The User has the right to terminate the contractual relationship with the mmd-exchange Service due to his/her disagreement with the change of such Terms. The User must notify the mmd-exchange Service of his/her disagreement with the change of the Terms and termination of the contractual relationship by sending a corresponding letter to the e-mail address [email protected] .

12.3. The mmd-exchange service has the right to send the User information about the status of the exchange process, as well as other information, including advertising information, to the e-mail address specified by the User. The User can unsubscribe from advertising mailings by clicking on the corresponding button in the received letter.

12.4. The information posted on the website, including all graphic images, text information, program codes, etc., is the property of mmd-exchange. and is protected by copyright laws.

12.5. The User confirms that he/she has read all the provisions of these Terms and Conditions and fully accepts them.
